By accessing the HolePlan™ website and downloading the Software, you agree to these terms. If you are using the Software as an individual, you represent that you have the legal capacity to enter into this agreement. If you are acting on behalf of a Resource Company, Drilling Contractor, Directional Drilling Contractor, Engineering firm, or any other legal entity, you represent that you have the authority to bind that entity to these terms.
For the purposes of this agreement, a "User" (or "Client") refers to any natural or legal person, regardless of their legal-organisational form, including but not limited to sole traders, unincorporated entities, non-governmental organisations, foundations, government agencies, municipal bodies, embassies, and any other entity that has purchased or subscribed to the non-exclusive, time-limited right to use the HolePlan™ Software.
These Terms apply to all existing and future agreements between Hole Plan Ltd and its Users. By registering for or accessing the HolePlan™ Software, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the HolePlan™ Software. A breach of any clause of these Terms constitutes a breach of the agreement and entitles the non-breaching party to terminate it unilaterally without owing any penalties or compensation.
The Software utilises industry-standard mathematical models and international formulas for trajectory calculations and deviation predictions. While these underlying formulas are public international standards, the specific software implementation, source code, 3D rendering engines, and integrated predictive logic are the exclusive intellectual property of Hole Plan Ltd. The User acknowledges that this unique execution is protected by copyright and trade secret laws. The User agrees not to decompile, disassemble, or attempt to reverse-engineer any part of the Software.
The HolePlan™ trademark is the exclusive property of Hole Plan Ltd and is protected under applicable national and international intellectual property law.
All content within the Software, including but not limited to database structures and data, names, trademarks, analyses, expert reports, document templates, icons, button designs, and the overall user interface design, is subject to copyright and related rights, with all rights reserved to Hole Plan Ltd.
No person or entity may reproduce, modify, transmit (electronically or otherwise), publicly display, or otherwise use any part or the entirety of the Software's content for commercial purposes or to derive any other benefit without the express written permission of Hole Plan Ltd. No person may distribute, in whole or in part, the databases, data files, text files, or program files of the HolePlan™ Software for the purposes of software development, publishing, or any other activity.
To the maximum extent permitted by applicable law, the Company's total aggregate liability for any and all claims arising out of or related to these Terms or the use of the Software shall be limited to the total amount paid by the User for the Subscription during the six (6) months immediately preceding the event giving rise to the claim.
Hole Plan Ltd shall not be liable for defects in the HolePlan™ Software caused by external technical equipment, hardware, third-party drivers, installations of other software products or database management software, defects or problems in the operating system, unauthorised access to databases, any interference by unauthorised persons, copying of databases, or consequences of virus infection and/or virus removal.
Hole Plan Ltd shall not be liable to any persons or organisations for any direct or indirect damages or losses caused by the improper use of, or inability or lack of experience in using, the HolePlan™ Software, including but not limited to data loss or corruption, business interruption, monetary losses, and lost profits, whether arising from the use of the Software or from the temporary inability to use it.
Hole Plan Ltd shall not be liable for the operation of the HolePlan™ Software if the computer on which it is used does not meet the minimum technical requirements. Hole Plan Ltd shall not be liable for delayed or impaired performance of the online version of the Software.
Hole Plan Ltd undertakes the maintenance, updating, and expansion of the HolePlan™ Software with the standard due diligence expected of information service providers. Notwithstanding this, individual errors in the content or the Software are not entirely excluded. Hole Plan Ltd shall use commercially reasonable efforts to ensure that such errors do not materially impair the normal and intended use of the Software; however, this does not constitute a warranty or guarantee of uninterrupted or error-free operation. Upon being notified by the User, Hole Plan Ltd shall use commercially reasonable efforts to correct any identified errors within reasonable timeframes, taking into account technological requirements and resource availability. Hole Plan Ltd shall not be liable if errors arise as a result of a conflict with other software subsequently installed by the User. The User installs all software entirely at their own risk.
THE SOFTWARE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. THE USER ASSUMES ALL RISK ARISING FROM THE USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO ANY RELIANCE ON THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CALCULATIONS, PROJECTIONS, OR VISUALISATIONS GENERATED BY THE SOFTWARE.
You agree to indemnify, defend, and hold harmless Hole Plan Ltd. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) Your use of the Software or Services; (b) any violation of these Terms by You or any person using Your account; (c) any violation of applicable law or regulation by You; (d) any third-party claim alleging that Your use of the Software caused damage, injury, or loss to a third party; or (e) any dispute between You and a third party relating to data, calculations, or projections generated using the Software. This indemnification obligation shall survive the termination or expiration of these Terms.
Headquartered in Sofia, we adhere to EU GDPR. We collect only necessary account data (name, email, org). We do not sell personal information. You have the right to export or delete your profile data at any time via the Support Portal.

These terms are governed by the laws of the Republic of Bulgaria. Any disputes shall be resolved exclusively by the competent courts in Sofia, Bulgaria.
Technical support for the HolePlan™ platform is managed through our dedicated Global Support Portal, available 24/7/365. To ensure professional guidance and efficient troubleshooting, all requests are handled by a specialised team of software engineers and drilling experts. Users can submit new support tickets directly through the portal of contact us or via email at support@holeplan.com.
The User must not share their login credentials (username and password) with any third parties. If the User, or any person authorised by the User, discovers or suspects that their credentials have been compromised or that a third party may have gained access to the HolePlan™ Software through their account, they must immediately notify Hole Plan Ltd.
The User must properly log out of the HolePlan™ Software after each session. If the User fails to log out, Hole Plan Ltd cannot determine that the active session has ended or that the occupied license has been released, and Hole Plan Ltd shall not be liable if the User is temporarily unable to re-access the Software until the session is automatically terminated.
The HolePlan™ Software may not be lent, rented, leased, gifted, donated, or transferred to any other person or entity by any means. The User may not assign or transfer any rights obtained under this agreement and these Terms without the prior written consent of Hole Plan Ltd. Decompilation, reverse engineering, or disassembly (in whole or in part) of the HolePlan™ Software is expressly prohibited. The User may not make any modifications (in whole or in part) to the databases, underlying software, services, or any associated documentation or materials without the express consent of Hole Plan Ltd.
The User consents to remote access to their installation by employees and persons authorised by Hole Plan Ltd, when such access is necessary to resolve errors in the HolePlan™ Software, troubleshoot issues, or make corrections to the database or underlying software, and has been requested by the User. In such cases, Hole Plan Ltd guarantees that it will maintain full confidentiality with respect to any data inadvertently accessed during the support session.
Hole Plan Ltd reserves the right to modify the HolePlan™ Software and these Terms without prior notice, provided that such changes do not conflict with applicable legislation or any specific agreement under a contract concluded with Hole Plan Ltd. The current Terms are accessible on the HolePlan™ website, and the User is responsible for periodically reviewing them for any updates. In the event of changes, Hole Plan Ltd will notify Users by means of an appropriate notification. Hole Plan Ltd may, at its discretion, change the database management system and/or its version in order to improve and adapt the HolePlan™ Software to new technologies and requirements. Hole Plan Ltd shall inform Users in an appropriate manner on its website of how long older versions of the Software will be supported.
Upon expiry of the User's subscription or failure to pay the agreed subscription fee within the stipulated timeframe, access to the online version of the HolePlan™ Software will be terminated immediately. Access to the desktop version installed on the User's computer may be restricted or fully suspended. If only a portion of the User's subscribed modules or products has expired, Hole Plan Ltd reserves the right to terminate access to those specific modules entirely or to restrict access to content updated after the expiry date. Hole Plan Ltd will announce end-of-support dates for older versions no less than 90 days in advance. The User is solely responsible for ensuring their systems meet the requirements of new versions within the announced support period. Hole Plan Ltd shall have no obligation to refund any fees for the User's failure to transition to a supported version.
